Schneider Electric agrees to buy PTC for $22.6 billion

The cash agreement would add industrial design software to Schneiderโ€™s AI plans. Shareholder and regulatory approvals are still required.

Schneider Electric and PTC announced a signed acquisition agreement on October 5. The cash offer is $205 per share, valuing PTCโ€™s equity at about $22.6 billion. The deal has an enterprise value of $23.7 billion.

Closing is expected by the third quarter of 2027, subject to PTC shareholder approval, regulatory clearance and other conditions. Both boards have approved the agreement.

Connecting design and operations

PTC supplies software for product design and lifecycle management. Schneider says combining that engineering data with its operational and energy data would provide better context for industrial AI agents.
